In this regard, the scope of our services include general corporate counseling, corporate governance, formation of business entities, buy-sell agreements, debt and equity financings, venture capital, stock incentives and executive compensation, confidentiality agreements, license agreements, and joint ventures and other strategic alliances.

In addition, we have negotiated hundreds of mergers and acquisitions transactions for both buyer and target parties (and their affiliates), in taxable and tax-deferred mergers, asset purchases or stock purchases, involving payments in cash, stock and/or debt. We handle all aspects of the representation, from advising on the structure of the transaction to assisting in the due diligence process to negotiating the deal terms and drafting the principal and ancillary documents.
