Bankruptcy and Creditor's Rights
- Represented purchaser of $55 million of real estate assets out of multiple Chapter 11 bankruptcy cases pending in the U.S. Bankruptcy Court for the Northern District of California.
- Represented Chapter 11 debtor Coudert Brothers law firm as special counsel in U.S. Bankruptcy Court for the Southern District of New York. Defended debtor against bankruptcy legal malpractice claim. Settled claim on terms favorable to debtor.
- Represented secured lender in obtaining single asset real estate motion for relief after trial on $6 million loan in Chapter 11 bankruptcy case pending in the U.S. Bankruptcy Court for the Northern District of California.

Business
- Represented developer and manager of two downtown boutique hotels, Campton Place in San Francisco and Checkers in Los Angeles, and the developer of The Carneros Inn in Napa. We also served as local counsel for the sale of two major San Francisco hotels.
- Represented Asian food product import and distribution company and its founder in their efforts to prepare the business for sale. We subsequently negotiated and documented the sale of the company to a public corporation for nearly $100,000,000.
- Represented the owner of Greenleaf Produce, the San Francisco Bay Area’s most successful distributor of premium and organic fruit, vegetables and gourmet products, in the sale of the company to an investment group and negotiated a continuing equity stake and management role for the owner in the growing venture.

Litigation
- Represented publicly-traded company in defamation and market manipulation action against stock analysts and hedge fund. The company prevailed on an anti-SLAPP motion at the trial court and appellate level. The case settled, resulting in both a retraction and a monetary settlement.
- Represented lender in a breach of fiduciary duty and breach of contract action against a national title company in the Alameda County Superior Court. Obtained a multi-million dollar judgment after trial.
- Represented investors in a NYSE arbitration against national stock brokerage arising out of broker’s unauthorized and unsuitable trades. Obtained multi-million dollar award of all requested damages after arbitration.

Real Estate
- Represented a developer in the $261,000,000 sale of most of the developer’s Northern California office portfolio to a major real estate investment trust. The portfolio consisted of 35 buildings containing over 1,375,000 rentable square feet.
- Represented one of the country's largest retailers in the acquisition and development of its retail projects in Northern California and the Central Valley. We negotiated purchase and sale agreements, ground leases, development agreements, CC&Rs and other project documents.
- Represented a developer in the public-private redevelopment of a neighborhood shopping center under a ground lease from the local redevelopment agency. We negotiated construction documents, construction loan documents and retail leases with major retail tenants.
