K. Bradley Rogerson - Of Counsel
K. Bradley Rogerson is Of Counsel in Stein & Lubin’s Real Estate, Business and Finance and Workouts Practice Groups. Mr. Rogerson represents clients in a wide range of real estate and business transactions, including debt and equity financing, complex workouts, mortgage lending and investment, public and private securities offerings and real estate purchase and sale transactions.
Mr. Rogerson has extensive experience representing and advising developers, finance companies, private investors and promoters in connection negotiating and structuring joint ventures, real estate syndications, mortgage investment pools, debt and equity restructures and equity recapitalizations. Mr. Rogerson is also active in general business transactions including business acquisitions and sales, the selection and formation of business entities and advising clients with respect to the ongoing operating issues affecting such entities.
Mr. Rogerson also devotes a portion of his practice to private mortgage lending and investment and has considerable experience representing California real estate brokers, finance lenders, mortgage funds and other private lenders in connection with licensing requirements, regulatory compliance, audits and enforcement procedures brought by the California Department of Real Estate, the California Department of Corporations and other regulatory agencies. For over 10 years Mr. Rogerson also has represented private lenders in connection with structuring both public and private securities offerings to fund their lending operations. During this time, he has structured and drafted private placement memoranda and other disclosure documents for countless mortgage pools, loan participations, collateralized debt obligations and other debt and equity offerings and has successfully obtained numerous permits from the California Department of Corporations qualifying the public offer and sale of such securities to California investors.
Mr. Rogerson is a member and past Chair of the Standing Committee on Partnerships and LLCs of the State Bar’s Business Law Section where he continues to be active in the drafting and passage of various pieces of California business legislation, including California's Uniform Limited Partnership Act of 2008 and the recently introduced California Revised Uniform Limited Liability Company Act (Senate Bill No. 323). He has also been a guest lecturer for the California Mortgage Association, the California CPA Education Foundation and various other organizations.
