Cara K. Lowe - Partner

Cara K. Lowe is a Partner in Stein & Lubin’s Business and Real Estate Practice Groups.  She served as the firm’s Managing Partner from 2007 through 2010. 

Ms. Lowe concentrates on corporate, securities, and pass-through entity counseling. She has extensive experience in representing issuers and investors in private equity and debt financings, corporate governance, mergers and acquisitions, stock incentives, executive compensation, confidentiality agreements, license agreements, joint ventures and other strategic alliances, partnership agreements, operating agreements, executive employment and consulting agreements, nondisclosure agreements and license, distribution and OEM agreements and complex commercial transactions.   Ms. Lowe advises companies of all sizes, with emphasis in representation of start-up, emerging and middle market companies, and serving as outside counsel for a companies in a broad range of industries, including real estate development and investment, manufacturing, investment companies, retail, technology, financial services, construction, food service, and professional services.

Entity Formation 
 
Ms.  Lowe represents corporate and pass-through entities in their organization, financing, and governance, including business, tax, and securities advice.

Debt and Equity Financings

Ms. Lowe has extensive experience in representing issuers and investors in private debt and equity financings, for both early stage companies and more mature middle-market enterprises.   

Buy-Sell Agreement and Shareholder Disputes

Ms. Lowe has extensive experience in representing privately held companies and their owners in buy-sell agreement, governing and restricting the ownership interests in the entities.  Additionally, she has in-depth experience resolving protracted disputes among owners regarding their ownership interests, instead of and during litigation, including redemptions, restructurings, leveraged buyouts and spin-offs. 

Real Estate Development

Ms. Lowe has served as primary outside counsel for a variety of Northern California real estate development, management and investment companies, representing them at all stages of their growth and operations, and has extensive experience in debt and equity financing, complex joint venture relationships, reorganizations and public-private partnerships.

Mergers and Acquisitions

Ms. Lowe has represented buyer and target parties (and their affiliates) in over 100 mergers and acquisitions transactions, primarily involving middle-market target companies, in all transaction forms, including taxable and tax-deferred mergers, asset purchases or stock purchases, involving payments in cash, stock and/or debt. 

Responsibilities include structuring transactions to achieve business and tax objectives, negotiating and drafting letters of intent and definitive purchase agreements, non-competition covenants and all other agreements, coordinating corporate due diligence and advising clients during the post-closing period with respect to earn-outs, purchase price adjustments, restrictive covenants and other contractual obligations.
